There is sales tax on private party sales. It is based of the vehicles original MSRP or based on a appraisal you get at the DMV.
In CA it's based on what you pay for the car. That allows family members to sell cars for $1.

But yes, I would be paying California taxes on $28,500. Naybe I can get the dealer to sell the car for $23,000 and give me $12,500 for the trade-in?
